BYLAWS OF THE
CUMBERLAND COUNTY CHESS CLUB

ARTICLE I - MEMBERSHIP

Section 1 - Eligibility. Any person, regardless of residence, citizenship, race, creed, or color may become a member of the Cumberland County Chess Club by paying dues for one year to the Treasurer of the Club.
Section 2 - Rights and Privileqes. Any member whose dues are current shall enjoy full privileges in the Club, including the right to vote a~d hold office.
Section 3 - Dues. The annual dues for each member shall be Ten Dollars ($10.00). Dues shall be payable annually and shall be due at the end of the twelfth month after the month the dues are paid.
Section 4 - Termination. Any member who is more than one month delinquent in payment of his dues shall be automatically dropped from the membership rolls

ARTICLE II - MEETINGS

Section 1 Annual Meeting. The annual meeting of the membership of the Club shall be held on the first Thursday of October in each year, at 7:00 o'clock P.M. for the purpose of electing officers and directors and for the transaction of such other business as may come before the meeting.
Section 2 Special Meetings. Special meetings of the membership, for any purpose or purposes, may be called by the president or by the board of directors or by not less than one-tenth of the members of the Club.
Section 3 Quorum. At any meeting of members one-tenth (1/10) of the members entitled to vote shall constitute a quorum.
Section 4 Proxies. Every member entitled to vote at a meeting of members may authorize another person or persons to act for him by proxy.
Section 5 - Rules and Order of Procedure. The agenda and order of business for all meetings shall be determined by the president. The latest edition of Robert's Rules of Order shall govern the proceedings of all meetings of the Club.

ARTICLE III - BOARD OF DIRECTORS

Section 1 - General Powers. The business and affairs of the Club shall be managed by its Board of Directors.
Section 2 - Number. the Club shall be nine. The number of the Board of Directors of the club shall be nine.
Section 3 - Composition. The Board of Directors shall consist of nine members composed of the duly elected and acting president,
vice president, secretary-treasurer, internet coordinator, tournament coordinator, publicity coordinator, senior coordinator, scholastic coordinator, and junior member, all of whom shall be elected by the members of the Club at the annual membership
meeting.
Section 4 - Junior Member. A Cumberland County student, age 18 or younger, shall be elected as a junior member of the Board.
Section 5 - Tenure. Each director shall hold office until the next annual meeting and until his successor shall have been elected and qualified.
Section 6 Regular Meetings. A regular meeting of the directors shall be held without other notice than this bylaw immediately after, and at the same place as, the annual meeting of members. Other regular meetings of directors may be held at such time and place and upon such notice as the directors may prescribe.
Section 7 - Special Meetings. Special meetings of the Board shall be held upon notice sent by any usual means of communication not less than five (5) days before the meeting.
Section 8 - Quorum. At any meeting of directors one-third of the directors then in office shall constitute a quorum.
Section 9 - Vacancies. Vacancies occurring in the Board of Directors for any reason may be filled by a vote of a majority of the directors then in office. A director elected to fill a vacancy shall be elected to hold office for the unexpired term of his predecessor.

ARTICLE IV - OFFICERS

Section 1 - Number. The officers of the Club shall be a president, a vice-president, a secretary-treasurer, an internet coordinator, a tournament coordinator, a publicity coordinator, a senior coordinator, and a scholastic coordinator, each of whom shall be elected by the members at the annual membership meeting and each of whom shall be a member of the Board of Directors of the Club.
Section 2 - Election. All officers shall be elected by the members of the Club at the annual membership meeting.
Section 3 Tenure. All officers shall take office immediately following their election and shall hold office until the next annual meeting of the members and until their successors shall have been elected and qualified.
Section 4 - Vacancies. All vacancies shall be filled as set out in Article III, Section 9.
Section 5 - Duties of Officers.
(a) The President:

  1. shall preside at all meetings.
  2. shall appoint all committees.
  3. shall in general supervise and control all of the business and affairs of the Club.

(b) The Vice-President:

  1. shall perform all of the duties of the president in his/her absence.
  2. shall perform such other duties as may be assigned to him by the president.

(c) The Secretary-Treasurer:

  1. shall keep the minutes of all meetings.
  2. shall keep a list of all members' names and addresses.
  3. shall collect all dues.
  4. shall be responsible for all funds of the Club.
  5. shall make disbursements as authorized by the Board.

(d) The Internet Coordinator:

  1. shall by responsible for the web site for the Club.
  2. shall see that the web site for the Club contains information regarding the meeting place and time for the Club, information on all upcoming tournaments sponsored by the Club, and information regarding any other matters as determined by the Board.
  3. shall be responsible for advising the Club on all internet related activities.
  4. shall be responsible to ensure that the fees for the domain name and hosting are paid on an annual basis.

(e) The Tournament Coordinator:

  1. shall be responsible for coordinating all tournaments sponsored by the Club.
  2. shall maintain a tournament checklist to be used in organizing all tournaments sponsored by the club.
  3. shall ensure that all tournaments sponsored by the Club are run in a professional and proper manner.

(f) The Publicity Coordinator:

  1. shall be responsible for coordinating publicity for all Club activities, including advance publicity for all tournaments and results for tournaments when they are concluded.

(g) The Senior Coordinator:

  1. shall be responsible for advising the Board concerning all senior activities pertaining to chess.
  2. shall be responsible for promoting senior chess in Cumberland County.

(h) The Scholastic Coordinator:

  1. shall be responsible for coordinating scholastic chess programs in Cumberland County.
  2. shall maintain information on all school programs in Cumberland County.
  3. shall be responsible for disseminating all chess information to all school programs in Cumberland County.
  4. shall be responsible to help arrange for chess coaches in all school programs in Cumberland County.

(i) The Junior Member:

  1. shall be responsible for advising the Club on junior chess in Cumberland County.

ARTICLE V - FISCAL YEAR

The fiscal year of the Club shall begin on the first day of September in each year.

ARTICLE VI - COMMITTEES

The president shall determine and appoint the proper standing and special committees and shall designate their duties.

ARTICLE VII - AMENDMENT

These bylaws may be amended by a vote of two thirds (2/3) of the votes cast or a majority of the voting power, whichever is less, at any membership meeting at which a quorum is present or at any meeting of the Board of Directors at which a quorum is present.


REVISED - 01/05/2013

1/5/13 - Revision removed the following statement from Article III Section 4 Junior Member - "This position shall be considered as an honorary position, with the person elected to have voice but no vote." The revison now allows the Junior member to vote.
